Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “your”, the “User”) and MAGNATEX LLP, an Indian Limited Liability Partnership (LLPIN: ACU-5689) with its registered office at 111, Fortune Business Hub, Sola, Nr. Satyamev Elysium, Ahmedabad, Gujarat 380060, India (“MagnateX”, “SocioGenie”, “we”, “our”, “us”).
By creating an account, starting a free trial, purchasing a subscription or credits, or otherwise accessing or using www.sociogenie.ai or the SocioGenie platform (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Refund Policy. If you do not agree, you must not use the Services.
1. Definitions
- “Account” means the registered user account associated with your email address.
- “AI Engine” means the autonomous content-generation and scheduling system that operates continuously to plan, generate, and (subject to approval settings) publish content for connected social-media accounts.
- “Brand DNA” / “AI Memory Layer” means the brand data, preferences, and configuration you provide to personalise the AI outputs.
- “Connected Account” means a third-party social-media account (e.g., Instagram, Facebook, LinkedIn) you authorise SocioGenie to access.
- “Credits” means the unit of AI usage on SocioGenie, comprising Base Credits (included in subscriptions) and Top-Up Credits (purchased separately).
- “Dodo” means Dodo Payments Inc., our Merchant of Record and authorised payment processor.
- “User Content” means any data, text, image, video, logo, asset, prompt, or material you upload, submit, or generate using the Services.
2. Description of the Services
SocioGenie is an AI-powered social-media operating system. It combines AI automation, content generation, brand intelligence, optional human quality review, publishing infrastructure, and analytics. Core capabilities include onboarding and Brand DNA setup, the AI Memory Layer, the Media Library, social-account integrations, configurable automation preferences, the AI Engine, Bulk Create, Quick Create, the Product Advert Generator, the Festival Post Generator, the User/Managed Approval Workflow, automated scheduling and publishing, analytics & insights, the AI Chatbot Assistant, and the subscription & credit system.
We may, at our sole discretion and without liability, modify, add, remove, suspend, or discontinue any feature or part of the Services at any time. Where the change is material, we will provide reasonable prior notice.
3. Eligibility
To use the Services, you must:
- be at least 18 years of age;
- have the legal capacity to enter into a binding contract under the laws applicable to you;
- if registering on behalf of a business or other legal entity, represent and warrant that you are duly authorised to bind that entity to these Terms;
- not be barred from receiving the Services under the laws of India, your country of residence, or any country where we operate (including applicable sanctions lists).
4. Account Registration & Security
- You agree to provide accurate, current, and complete information during registration and to keep it updated.
- You are responsible for safeguarding your credentials and for all activity that occurs under your Account. You must notify us immediately at support@magnatex.co of any unauthorised access or suspected breach.
- We may refuse, suspend, or terminate Accounts that we reasonably believe are fraudulent, abusive, or in violation of these Terms.
5. Subscription Plans, Free Trial & Credits
5.1 Subscription plans
SocioGenie is currently offered in the following plans:
- Prime — USD 24.99 / month
- Elite — USD 39.99 / month
- Legacy — USD 59.99 / month
Each plan includes a fixed allowance of Base Credits per billing cycle. Pricing, plan features, and credit allowances are displayed on the in-app pricing page and may be updated from time to time. Changes will take effect on your next renewal.
5.2 Free trial
New eligible Users may activate a 10-day free trial of the Elite plan upon providing a valid payment method. If you do not cancel the trial before it ends, your payment method will be automatically charged for the Elite plan and your subscription will continue until cancelled. The free trial is limited to one per user and may be withdrawn or modified at any time. We may revoke trial access for misuse, fraud, or violation of these Terms.
5.3 Top-Up Credits
You may purchase additional Top-Up Credits on top of your subscription:
- Starter Top-Up — USD 4.99
- Basic Top-Up — USD 9.99
- Growth Top-Up — USD 19.99
- Business Top-Up — USD 39.99
- Base Credits reset on each renewal and expire when your subscription expires or is cancelled. Unused Base Credits do not roll over.
- Top-Up Credits expire 30 days after purchase and can only be used while you have an active subscription. Top-Up Credits are non-transferable and non-refundable except as expressly stated in our Refund Policy.
- Credits have no cash value, cannot be exchanged for currency, and cannot be transferred between accounts.
5.4 Auto-renewal & cancellation
Subscriptions renew automatically at the end of each billing cycle at the then-current price, charged to your saved payment method, until you cancel. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current paid cycle; you will continue to have access to the Services (including any remaining Base Credits) until that date.
6. Payments, Merchant of Record & Taxes
All charges are billed and settled in USD through our authorised payment partner, Dodo Payments Inc., which acts as the Merchant of Record (“MoR”) for SocioGenie. This means:
- Hosted checkout. When you initiate a payment, you are redirected to
checkout.dodopayments.com, where the entire payment UI runs on Dodo's own infrastructure under their terms and privacy policy. Your card details and billing information are collected and handled by Dodo on their domain. SocioGenie does not store, process, or transmit raw payment-card data, and does not bundle Dodo's checkout code in its own application. - Dodo is the seller of record on your card statement and the entity responsible for collecting payment, issuing invoices and receipts, and remitting applicable indirect taxes (VAT, GST, sales tax, etc.) in your jurisdiction.
- By completing a payment on Dodo's checkout, you also agree to Dodo Payments' own terms of service and privacy policy, available on the Dodo Payments website.
- Payment-instrument data (full card number, CVV, bank credentials) is collected and stored by Dodo. We never see or store this data.
- Currency-conversion fees, foreign-transaction fees, or any other charges imposed by your bank or card issuer are your sole responsibility.
7. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary, subscription payments are generally non-refundable, Credits are non-refundable under all circumstances, and refunds are considered only on a case-by-case basis for limited exceptions such as duplicate charges or verified technical failures.
8. Licence to Use the Services
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business purposes during the term of your subscription.
9. User Content & Intellectual Property
9.1 Your content
You retain all ownership rights in your User Content (brand assets, logos, products, prompts, references, etc.). You grant MAGNATEX LLP a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, modify, adapt, process, and display your User Content solely as necessary to (a) provide and improve the Services, (b) generate AI outputs you request, and (c) publish content to your Connected Accounts as you authorise. This licence ends when you delete the content or your Account, subject to our retention periods as described in the Privacy Policy.
We do not use your User Content to train our own AI models, nor do we permit our AI sub-processors to train their public models on your User Content under our standard configuration.
9.2 AI-generated outputs
As between you and us, and subject to the rights of underlying AI providers, you own the AI-generated outputs created for you through the Services (captions, images, posts, campaigns). You are solely responsible for ensuring that AI-generated outputs do not infringe third-party rights, mislead consumers, or violate applicable laws before publishing them.
9.3 Our intellectual property
The Services — including the SocioGenie name, logo, software, interface, AI orchestration, workflows, documentation, and analytics — are and remain the exclusive property of MAGNATEX LLP and its licensors. No rights are granted to you other than the limited licence in Section 8. You agree not to copy, modify, reverse-engineer, decompile, scrape, or create derivative works of the Services.
10. AI-Generated Content Disclaimer
The Services use third-party generative-AI models (OpenAI, Anthropic, Google AI). Outputs are produced algorithmically and may:
- contain inaccuracies, fabrications, or outdated information;
- be similar or identical to outputs generated for other users;
- be unsuitable for regulated industries, medical, legal, financial, or safety-critical use;
- not be guaranteed to be factually correct, brand-aligned, or legally compliant.
Human review under Managed Approval Mode is limited to branding consistency, caption quality, creative presentation, and posting readiness. It is not a legal, factual, regulatory, or trademark review. You remain solely responsible for the lawfulness, accuracy, and appropriateness of any content you publish through the Services.
11. Connected Social-Media Accounts
- When you connect Instagram, Facebook, LinkedIn, or any other platform via OAuth, you authorise SocioGenie to publish content, schedule posts, and read analytics on your behalf, strictly within the scopes you grant.
- You represent that you have full authority to connect those accounts and to publish the content you submit.
- You will comply with each platform’s terms (e.g., Meta Platform Terms, Instagram Community Guidelines, LinkedIn User Agreement).
- SocioGenie is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., LinkedIn Corporation, Google LLC, or any other third party.
- We are not liable for outages, policy changes, rate limits, account restrictions, account bans, content takedowns, or algorithmic decisions made by third-party platforms.
12. Acceptable Use & Prohibited Conduct
You agree not to use the Services to:
- violate any applicable law, regulation, or third-party right;
- generate, schedule, or publish content that is unlawful, defamatory, obscene, sexually explicit, hateful, harassing, threatening, discriminatory, or that incites violence;
- generate misleading political, election-related, medical, financial, or pharmaceutical content;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- infringe any intellectual-property right, including trademarks and copyrights;
- create deepfakes, non-consensual intimate imagery, or content that sexualises minors (CSAM is reported to authorities without notice);
- send spam, run pyramid schemes, conduct phishing, or operate click/engagement farms;
- attempt to circumvent usage limits, share Accounts, resell access, scrape, or attempt to reverse-engineer the Services;
- upload malware, exploits, or use the Services in any way that disrupts or damages our infrastructure or other users;
- use the Services to develop a competing AI model, dataset, or social-media-automation platform.
We may, in our sole discretion, remove offending content, refuse to generate it, throttle usage, or suspend or terminate Accounts that violate this Section.
13. Data Protection
Our processing of personal data is governed by our Privacy Policy. By using the Services you acknowledge and consent to such processing. Where we act as a processor on your behalf (for example, when processing data about your audience or contacts you upload), you act as the controller and you represent that you have the necessary legal basis to share such data with us. We comply with applicable laws including the DPDP Act 2023 (India), the GDPR / UK GDPR, and the CCPA/CPRA.
14. Service Availability & Support
We aim to keep the Services available 24/7 but do not guarantee uninterrupted, error-free, or secure access. We may perform scheduled maintenance and may suspend the Services for emergency maintenance, security, or legal reasons. Support is provided in English via support@magnatex.co during our business hours (Monday – Friday, 09:00 – 18:00 IST).
15. Suspension & Termination
- By you: You may cancel your subscription and delete your Account at any time from your account settings or by emailing support@magnatex.co.
- By us: We may suspend or terminate your access (with or without notice, where lawful) if (i) you breach these Terms; (ii) we are required to do so by law; (iii) your payment method fails repeatedly; (iv) we reasonably suspect fraud, abusive use, or risk to our systems or other users; or (v) you initiate a chargeback in violation of these Terms.
- Effect of termination: All rights and licences granted to you end immediately. We will delete your data as described in our Privacy Policy. Sections that by their nature survive termination (e.g., intellectual-property, indemnity, limitation of liability, governing law) will continue to apply.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, uninterrupted operation, and the results of using AI outputs. We make no representation that the Services will meet your requirements or that AI-generated content will produce any particular engagement, reach, conversion, or business outcome.
17. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall MAGNATEX LLP, its partners, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, audience reach, or follower count, even if we have been advised of the possibility of such damages.
- Our aggregate liability arising out of or in connection with the Services, regardless of the form of action, is limited to the greater of (a) the total amount you have actually paid to us (via Dodo) for the Services in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD 100.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
18. Indemnification
You agree to defend, indemnify, and hold harmless MAGNATEX LLP and its officers, partners, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) content you publish or schedule via the Services; (c) your use of, or inability to use, the Services; (d) your violation of these Terms; (e) your violation of any third-party right, including any intellectual-property, publicity, or privacy right; or (f) your violation of any law or third-party-platform terms.
19. Third-Party Services & AI Providers
The Services rely on third-party services including Google Cloud / Firebase (hosting), Dodo Payments (billing), Google Analytics 4 (analytics), and OpenAI, Anthropic, and Google AI (generative-AI processing). We are not responsible for outages, errors, policy changes, or modifications made by those providers. Where their terms apply to you (e.g., card-network terms via Dodo), you agree to comply with them.
20. Modifications to the Terms
We may update these Terms from time to time. When we make material changes, we will provide reasonable advance notice (by email, in-app notification, or by updating the “Last updated” date) before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and may cancel your subscription.
21. Force Majeure
We will not be liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, pandemics, government actions, internet or telecommunications outages, denial-of-service attacks, third-party-platform failures, or industrial disputes.
22. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, to any successor, affiliate, or acquirer of all or substantially all of our business or assets without your consent.
23. Severability & Waiver
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. Our failure to enforce any right or provision is not a waiver of such right or provision.
24. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any plan-specific terms or order forms, constitute the entire agreement between you and MAGNATEX LLP concerning the Services and supersede all prior agreements and understandings.
25. Governing Law & Jurisdiction
These Terms and any dispute arising out of or in connection with them (including their formation) are governed by, and construed in accordance with, the laws of India, without regard to conflict-of-law principles. The courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction to settle any such dispute, and you irrevocably submit to the jurisdiction of those courts. This does not deprive you of any mandatory consumer protections of the law of your country of residence.
